「株式会社を設立して最初の取締役の任期は１年ですか？」
以前の「旧商法」を知っている税理士さんからの質問です。
たしかに、旧商法には、「最初の取締役」の任期について、「就任後１年内の最終の決算期に関する定時総会の終結の時迄」という規定がありました。そのため、会社設立して１年後に取締役の改選をしなければならなかったのです（旧商法256条）。
ちなみに、「最初の取締役」というのは、会社の設立に際し選任された初代の取締役のことです。
現在の会社法には、このような規定はありませんので、１年で退任することはありません。
